These General Conditions of Purchase apply to all goods and services that IT Sphere Technologies (Pty) Ltd, registration number 2018/371543/07 (the Company), buys from suppliers. The Company only purchases on these terms, and the Company is not bound until a formal Purchase Order is issued.
2. The contract
The contract consists of the Purchase Order, these terms and any express written agreement from the Company. Supplier terms on quotes, invoices or acknowledgements do not apply unless agreed in writing and signed by both parties. A supplier wishing to reject a Purchase Order must do so in writing within 5 Business Days.
3. Warranties
The supplier warrants that deliverables match the Purchase Order and specification, are new and free from defects, comply with all applicable laws and standards, and do not infringe anyone's intellectual property rights. The supplier must hold the relevant qualifications, permits and licences.
4. Delivery, title and risk
Deliverables must be supplied within the times quoted. Late delivery of goods may result in a deduction of 5% of the charges for every week's delay. Non compliant goods must be repaired or replaced within 7 days, or may be rejected. Risk stays with the supplier until delivery and acceptance by the Company.
5. Charges, VAT and payment
Charges are fixed as stated in the Purchase Order, exclusive of VAT and inclusive of all expenses. The Company pays 30 days after receipt of a statement of account and a valid tax invoice. Claims for payment must be submitted within 90 days of supply. The Company may deduct amounts owed to it from payments due.
6. Health, safety and environment
Suppliers working on the Company's premises must follow its health and safety policies and all applicable legislation, and keep the site clean and free from pollution.
7. Cancellation and termination
The Company may cancel or suspend orders if the supplier becomes insolvent or enters business rescue, and may terminate or reduce the scope of an order by written notice, paying only for work properly done.
8. Assignment and subcontracting
The supplier may not assign the contract or subcontract work without the Company's prior written consent, and remains fully responsible for any subcontractor.
9. Data protection
Both parties process personal information in line with POPIA. Where the supplier processes personal information on the Company's behalf, it acts as an operator and must follow the Company's instructions, keep the information secure and notify the Company immediately of any breach.
10. Disputes and governing law
Disputes are referred to the South African courts unless both parties agree to arbitration under the Rules of the Arbitration Foundation of Southern Africa. These terms are governed by the laws of the Republic of South Africa.
